Terms of Service

1. Agreement Overview

By accessing or using solutions4sf.com ("the Site") or engaging our consulting services, you agree to these Terms of Service ("Terms"). If you do not agree, please do not use the Site or our services.

This Site is operated by Serhii Skrypnyk, a sole proprietor providing professional RevOps consulting services for B2B businesses on Salesforce and Pardot platforms.

2. Services We Provide

We offer the following consulting services, with detailed scope provided in individual Statements of Work (SOWs):

• Architectural Loss Audit — Diagnostic engagement ($1,500 – $2,500)
• Pardot Revenue Accelerator — Implementation engagement ($7,000 – $12,000)
• Complete Architecture of Independence — Strategic transformation ($20,000+)

Pricing on the Site is indicative. Final pricing is confirmed in the SOW signed before work begins.

3. How Engagements Work

1. Discovery call — Free initial consultation (up to 60 minutes) via Calendly to assess fit.
2. Proposal & SOW — Written scope, deliverables, timeline, and pricing for your approval.
3. Engagement — Work begins after the SOW is signed and any required deposit received.
4. Delivery — Per the SOW timeline, with regular progress updates.
5. Handover — Documentation, training (when applicable), and 2 months of post-project support are included.

4. Payment Terms

• Payment terms are specified in each SOW.
• Typical structure: 50% deposit before work begins, 50% upon completion (varies by project size).
• Larger engagements may use milestone-based billing.
• Invoices are typically due within 14 days of receipt.
• Late payments may incur a 1.5% monthly interest charge or trigger a pause in work.
• All prices are in USD unless otherwise specified.

5. Intellectual Property

5.1 Our IP

The "Architecture of Independence" framework, methodologies, templates, training materials, and all content on this Site are intellectual property of Serhii Skrypnyk. You may not reproduce, redistribute, or commercially exploit our content without written permission.

5.2 Your IP

Your data, your business processes, and any custom code or configurations we build specifically for you remain yours. After full payment, you receive complete ownership of project deliverables.

5.3 Reusable Components

Generic frameworks, standard methodologies, and reusable components (not specific to your business) remain ours. We may use them in other engagements.

6. Confidentiality

We treat all information you share as confidential. We will not:

• Disclose your business information to third parties
• Use your data for purposes outside the engagement
• Reference you publicly without explicit written consent

For larger engagements, a separate Mutual NDA can be signed before discovery.

7. Warranties & Limitations

7.1 What We Promise

• We deliver work that meets the specifications in the signed SOW.
• We use reasonable professional skill and care.
• We comply with Salesforce and Pardot platform best practices.
• We provide post-project support as defined in each SOW.

7.2 What We Don't Promise

• Specific revenue outcomes (results depend on many factors outside our control)
• Performance of third-party platforms (Salesforce, Pardot, integrations)
• Compatibility with future Salesforce/Pardot platform changes after handover

7.3 Liability Limit

Our total liability for any engagement is limited to the fees paid for that specific engagement. We are not liable for indirect damages, lost profits, or consequential losses.

Nothing in these Terms limits liability for fraud, willful misconduct, or anything that cannot be limited by applicable law.

8. Cancellation & Refunds

• Audit engagements: Refundable within 24 hours of payment if work has not yet begun.
• Implementation projects: Cancellable with 14 days written notice. You pay for work completed plus reasonable wind-down costs.
• Free discovery calls: Reschedulable up to 4 hours before. No-shows may result in not offering a second call.

9. Acceptable Use of the Site

You agree not to:

• Use automated tools to scrape or harvest content beyond standard search engine indexing
• Attempt to reverse-engineer or copy proprietary frameworks
• Use the Site for any illegal purpose
• Submit false, misleading, or harmful information through forms
• Attempt to gain unauthorized access to any backend or admin areas

10. Third-Party Services

Some Site features rely on third-party services:

• Calendly — meeting scheduling (subject to Calendly's Terms of Use)
• Google Analytics — site usage analytics (subject to Google's Terms of Service)
• Bluehost — site hosting

We are not responsible for the availability, performance, or content of third-party services.

12. Governing Law

These Terms are governed by the laws applicable to the place of business of Serhii Skrypnyk (Ukraine), without regard to conflict of law principles.

For B2B clients in the EU, UK, or USA, jurisdiction may be specified in individual SOWs.

We will attempt to resolve any disputes through good-faith negotiation before resorting to formal proceedings.

13. Changes to These Terms

We may update these Terms periodically. The "Last updated" date will reflect changes. For active engagements, the version of Terms accepted at SOW signing applies for the duration of that engagement.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.
